See all those favourable reviews saying Batman v Superman "isn't for critics" or is enjoyable "if you leave your brain outside"? They're the kind of justification that suggests that blockbusters have to be stupid by definition, and they're the reason studios continue to pander to the idiot dollar with clunky, spectacle filled monstrosities like Transformers: Dark Of The Moon.
In both cases, the agenda was for "disposable" entertainment, aiming at an established fanbase, and in both cases the source material was referred to, but treated with utter disdain in places. That Michael Bay's sequel is the more critically acclaimed speaks awful volumes.
Why It Did Better
Possibly only because after two racist, idiotic first instalments, Dark Of The Moon wasn't a complete abomination. It seems to have been met with some relief - despite the fact that it is puerile and sexist - that it wasn't as bad as the atrocities committed previously.
If only Batman v Superman could say the same.
The Lesson For Warner Bros
If you make a third (and fourth and more) film with the same formula, the same creative drive and the same monstrous directing, you'll end up with a franchise that is laughed at endlessly no matter how much money it makes.
And you don't want to be that studio, hopefully.
