2. It Paints Every Other MCU Film Into A Corner
Unless continuity is treated with the same laissez faire approach it was in the X-Men films, there is no way to make a Civil War movie unless it directly impacts the plots of all associated films. The genius of The Avengers was that it allowed the individual films to all build toward a combined story while permitting to stand alone as quality superhero films. If you have Civil War, you can't have another Captain America film (since he would be dead...). After the Civil War, Iron Man becomes the director of S.H.I.E.L.D. This doesn't exactly jive with what has been established up to this point. Oh yeah, Thor is dead too and is brought back as a murderous android clone who kills fellow hero Goliath. I can't see Natalie Portman falling for that guy! We know that Ant Man will be showing up as a solo film, but in Civil War, Ant Man's primary role is helping Reed Richards to design and maintain the Negative Zone super prison...kind of puts a sour taste in any following Ant Man projects. Bottom line: If Civil War is made, then it basically becomes the MCU. Survey says...not worth it.
